2、反收购条款的合理性及合法性备受争议,引起了广泛讨论,甚至引来深交所的问询。面对这些争议雅化集团最终暂停了对公司章程的修改。公司章程作为公司的宪章性文件,其在反收购中具有特殊地位。因此本文希望通过分析雅化集团反收购章程中的问题,探究出章程反收购对我国企业的影响和适用性。本文首先对中西方关于反收购理论的发展历程进行了回顾,通过综合整理国内外关于反收购的前沿理论成果,对案例分析提供理论支持。在具体案例分析的过程中,本文以雅化集团反收购章程的修订为切入点,结合雅化集团的股权结构、行业背景以及经营状况,分析了雅化集团反收购的动因,并对雅化集团反收购章程设置的问题进行了研究。通过对雅化集团反收购章程的分
3、析,笔者得到启示:章程中的反收购条款是把双刃剑,应该审慎使用,想要从根本上抵御恶意收购的风险,公司必须变得强大,先发制人。因此企业应该把第一层防御——固本防御作为反收购的重点。在文章的最后笔者在启示的基础上就雅化集团的固本防御提出了建议,希望能够对其他企业今后的反收购起到借鉴作用。关键词:反收购;公司章程;固本防御IAbstractABSTRACTTopreventhostiletakeovers,YahuaGrouphasamendedcompany’sarticlesbyintroducinggoldenparachuteplan,sharkrepellentandotherterms.
