1、INDUSTRY-ACADEMICCONSULTINGAGREEMENTThisAgreementismadethis_____dayof_________,201_7_,byandbetween(the“Company”),acorporationorganizedandexistingunderthelawsofthe,and(the“Consultant”),anemployeeandfacultymemberof,aneducationalinstitutionandcharitablecorporat
2、ionlocatedin(“XXX”).WHEREAS,theConsultant,asamemberofthefacultyatXXX(“XXX”),ispermittedtoperformlimitedconsultingservicesforcompanies,subjecttothetermsofConsultant’semploymentrelationshipwithXXXandtheapplicablepoliciesandproceduresofand;WHEREAS,theCompanydes
3、iresthattheConsultantprovideadviceandassistancetotheCompanyinhisorherareaofexpertise;andWHEREAS,theConsultantdesirestoprovidesuchadviceandassistancetotheCompanyunderthetermsandconditionsofthisAgreement;NOW,THEREFORE,theCompanyandtheConsultantherebyagreeasfol
4、lows:1.ConsultingServices(a)SubjecttothetermsandconditionsofthisAgreement,theCompanyherebyretainsConsultantasaconsultantandtechnicaladvisortoperformtheconsultingservicesspecificallysetoutinExhibitAattachedtothisAgreementandmadeaparthereof(hereafterreferredto
5、asthe“Services”),assaidExhibitmaybeamendedinwritingfromtimetotime,andConsultantagrees,subjecttothetermsandconditionsofthisAgreement,rendersuchServicesduringthetermofthisAgreement.SuchservicesshallbelimitedtotheareaofexpertisedescribedinExhibitA(the“Field”),a
6、samendedinwritingfromtimetotime.ConsultantshallrenderserviceshereunderatsuchtimesandplacesasshallbemutuallyagreedbyCompanyandConsultant.Consultant’scommitmenthereundershallnotexceed___30___daysper__year____.(b)ItisunderstoodthatthepurposeoftheConsultingistop
7、rovideperiodicreviewandadvicerelevanttocertainCompanymatters,andthatneitherConsultantnorCompanywillbenefitifConsultantprovidesinaccurateadviceorcommentarybasedoninsufficientinformation.Tothatend,CompanyshallprovideConsultant,inadvanceofmeetings,withaccurate,
8、unbiasedandsufficientinformationforhimtoreviewthesubjectmatterthereof,andshallpromptlyprovidefurtherinformationthatConsultantreasonablydeemsrelevanttoforminganypertinentconclusionsrelevanttothem
