1、我国公司治理结构的问题及对策摘要:在经济全球化进程日趋加快的新形势下，加强公司治理已成为国际潮流，受到国际企业界的普遍高度重视。公司治理结构，是我国构筑市场经济体制，建立现代企业制度致力于研究解决的课题。建立现代企业制度是国有企业改革的目标，而健全公司治理结构是建立现代企业制度的关键。本文公司治理结构的含义、公司治理结构的主要理论和公司治理模式来阐述公司治理结构的主要内容；从董事会的独立性不够、监事会的功能非常有限、股权结构不合理、外部监控机制不健全、信息披露机制不健全和公司治理的法制环境不完善等方面分析了当前国有企业公司治理结构中存在的问题。并提出了解决我国

7、级经理人员三者组成的一种组织结构。在这种结构中，上述三者之间形成一定的制衡关系。从世界范围看，由于社会生产力和经济发展水平不同以及社会文化、传统、法律体系的差异，在公司治理上产生了古典管家理论、委托代理理论、现代管家理论以及利益相关者理论。其中委托代理理论和利益相关者理论是现代意义上两种最有代表性的公司治理理论。（二）公司治理结构的主要理论 1.委托代理理论委托代理该理论认为，股东是公司的真正所有者，在良好的制度环境下，公司在追求股东价值最大化的同时，也满足了其他索取权的利益，从而实现社会效率的最大化。这一理论揭示了公司治理结构问题是由股东与经营者之间的相互制
