1、MASTERSUBSCRIPTIONAGREEMENTThisS&PMasterSubscriptionAgreement(“Agreement”)isenteredintoasoftheEffectiveDate(assetforthbelow),byandbetweenSTANDARD&POOR’SFINANCIALSERVICESLLC.,aDelawarelimitedliabilitycompany(“SPFS”)whoseprincipalofficeislocatedat55WaterStreet,NewYork,

2、NewYork10041;andEFFECTIVEDATE：ADDRESS/ZIPCODE：CLIENT：TYPEOFLEGALENTITY/PLACEOFFORMATION：ForpurposesofthisAgreement,“S&P”meansSPFSorthatparticularaffiliateofSPFSthatpublishesand/ordistributestheServices(asdefinedbelow)andthathasexecutedaServicesAttachmentasprovidedher

3、ein.Inconsiderationofthemutualpromisesandcovenantshereinaftercontained,thepartiesheretoherebyagreeasfollows:1.License.(a)SubjecttothetermsofthisAgreement,S&PgrantstoSubscriber(asdefinedbelow)anon-exclusive,non-transferable,limitedlicensetopermitAuthorizedUsers(asdefi

4、nedbelow)toaccessanduseinternallytheinformationproducts,servicesandsoftware(referredtoindividuallyasa“Service”andcollectivelyasthe“Services”)identifiedintheapplicableServicesAttachment(s)andtheaccompanyingPricingSchedule(s)attachedheretoandincorporatedhereininaccorda

5、ncewiththisAgreement.Unlessspecifiedotherwise,referencetoaServicesAttachmentshallincludetheaccompanyingPricingSchedule(s).(b)AllaccesstoanduseofeachoftheServicessubscribedtohereundershallbesubjecttotherestrictionsstatedineachapplicableServicesAttachment(s).Anycapital

6、izedtermsusedanddefinedinthisAgreementshallhavethesamemeaningwhenusedintheapplicableServicesAttachment(s)unlessotherwisestatedtherein.ForthepurposeofthisAgreement,thefollowingtermsshallhavethemeaningsgivenbelow:(i)“Affiliate”meansanentityeitherdirectlyorindirectlyCon

7、trolledby,ControllingorundercommonControl(asdefinedbelow)withtheentitynamedasClient.(ii)“AuthorizedDepartment”meansadivisionorbusinessunitwithinSubscriberdesignatedinternallytoperformacertainbusinessfunctionasdescribedinaServicesAttachmentandauthorizedbyS&Ptoaccessth
