2、rgerwhichultimatelyledtoplaintiff’sresignation.Plaintiffseeksdamagesclaimingasubstantiallossofincome,damagetohisprofessionalreputationandpersonalembarrassmentwhichresultedfromhisforcedresignation.ThematterisnowbeforetheCourtondefendants'motionforsummaryjudgment.Afterconsiderationofthepr

3、e-andpost-hearingmemorandaofcounsel,answerstointerrogatories,affidavits,andoralarguments,thisCourtconcludesthatdefendants’motionforsummaryjudgmentshouldbegranted.TheFactualBackgroundThebasicandmaterialfactsinthiscontroversymaybebrieflydetailed.Mr.DaywasfirstassociatedwithSidley&Austinin

4、1938.HislegalcareerwasinterruptedbyWorldWarIIserviceintheNavyandbyhistenurewithboththeIllinoisstategovernmentandasPostmasterGeneraloftheUnitedStates.Uponleavingthefederalgovernment,hewasinstrumentalinestablishingaWashingtonofficeforthefirmin1963.Asaseniorunderwritingpartner,hewasentitle

5、dtoacertainpercentageofthefirm’sprofits,andwasalsoprivilegedtovoteoncertainmattersthatwerespecifiedinthepartnershipagreement.Hewasneveramemberoftheexecutivecommittee,however,whichmanagedthefirm’sday-to-daybusiness.HeremainedanunderwritingpartnerwithS&Afrom1963untilhisresignationinDecemb

6、er1972.AtsometimebetweenFebruary1972andJuly12,1972,S&A’sexecutivecommitteeexploredtheideaofapossiblemergerbetweenthatfirmandtheLiebmanfirm.S&ApartnerswhowerenotontheexecutivecommitteewereunawareoftheproposaluntilitwasrevealedataspecialmeetingofitsunderwritingpartneronJuly17,1972.Atthatm
