1、华中科技大学硕士学位论文我国公司型基金发展问题研究姓名：廖赛君中请学位级别：硕士专业：西方经济学指导教师：张卫东20070605公司型基金和契约型基金是世界证券投资基金的两种治理模式。我国H前采取的是契约型基金的治理模式。由于契约型基金治理结构上的缺陷，导致我国基金业丑闻不断，基金持有人利益屡遭侵害。为了解决我国基金治理的问题，也为了基金业的长远发展，木文提出了在我国发展公司型基金的命题。本文从以下四个方面论证了我国发展公司型基金的必要性：第一，我国H前采取的契约型基金存在严重的治理问题。第二，公司型基金治理结构优于契约型基金，

2、可以弥补契约型基金治理的不足。第三，从市场竞争的角度，推出公司型基金可以为投资者提供更多选择，有利于契约型基金的口我完善。第四，公司型基金已经成为世界基金业发展的趋势。在论证了我国发展公司型基金的必耍性Z后，本文接着从现实运行的角度考察了我国公司型基金发展存在的障碍——法律上与现行《公司法》和税法规定的冲突、独立萤事制度及其运行环境的不完善、以及制度变迁的“路径依赖”对新制度产生的阻碍。针对上述问题提出了以下政策建议：尽快推出《公司型基金法》，修改税法对公司型基金税收方面的规定；完善我国独立葷事制度及其运行环境；政府主导自上而下
